TERA APP & PATIENT COPILOT TERMS OF USE

Welcome to Tera.

These Terms of Use ("Terms") govern your access to and use of:

  • The Tera mobile application
  • The Tera Copilot patient application
  • Tera's AI-powered nutrition and health tools
  • Tera's website and related services

(collectively, the "Services").

The Services are operated by EcoWarrior, Inc. dba Tera ("Tera," "we," "us," or "our").

By creating an account or using the Services, you agree to these Terms.

1. Nature of the Services

Tera is a technology platform that provides tools designed to support personalized nutrition, wellness insights, and health behavior tracking.

The Services may include:

  • AI-generated nutrition and wellness guidance
  • Meal plans and grocery recommendations
  • Health tracking tools
  • Integration with third-party services
  • Tools that support practitioners managing patient care

Tera provides technology tools only and does not provide medical care.

2. Types of Users

The Services may be used in two different ways:

A. Independent App Users

Some individuals use Tera independently to receive AI-powered nutrition and wellness recommendations.

These users do not have a practitioner relationship through Tera.

B. Patients Using Tera With a Practitioner

Some users are invited to use Tera by a healthcare provider or wellness professional using the TeraPro practitioner platform.

In those cases:

  • The practitioner is responsible for clinical or professional services.
  • Tera provides the technology platform supporting those interactions.

3. No Medical Advice

The Services are intended for informational and educational purposes only.

Tera does not provide:

  • medical diagnosis
  • medical treatment
  • medical advice

AI-generated outputs may contain errors or omissions and should not be relied upon as medical guidance.

Always consult a qualified healthcare professional before making medical decisions.

4. Practitioner Responsibility (For Copilot Users)

If you use the Services under the supervision of a practitioner:

  • Your practitioner, not Tera, is responsible for your care.
  • Any protocols, recommendations, or treatment plans are provided by your practitioner.
  • Tera's role is limited to providing technology tools.
  • Tera does not independently review or validate practitioner recommendations.

5. Eligibility

You must be at least 18 years old to use the Services.

By using Tera, you represent that:

  • You have the legal authority to accept these Terms.
  • The information you provide is accurate.

6. Account Registration

You may be required to create an account.

You agree to:

  • Maintain accurate account information
  • Protect your login credentials
  • Notify us of unauthorized account access

You are responsible for activities conducted through your account.

7. Artificial Intelligence Disclosure

Tera uses artificial intelligence and automated systems to generate certain outputs.

AI-generated outputs:

  • may contain inaccuracies
  • may not reflect current scientific consensus
  • should not be relied upon as medical advice

Users are responsible for evaluating recommendations.

8. Third-Party Integrations

Tera may integrate with third-party platforms such as:

  • grocery delivery services
  • wearable devices
  • laboratory testing services
  • payment processors
  • other health technology providers

Tera is not responsible for third-party services.

Use of third-party services is subject to their own terms and policies.

9. No Emergency Services

The Services are not monitored for medical emergencies.

If you believe you are experiencing a medical emergency, call 911 or seek immediate medical care.

10. Acceptable Use

You agree not to:

  • Use the Services for unlawful purposes
  • Attempt to reverse engineer the platform
  • Interfere with system operations
  • Misrepresent your identity
  • Upload harmful or malicious content
  • Use the Services to provide unauthorized medical advice

Tera may suspend accounts that violate these rules.

11. Privacy

Your use of the Services is governed by the Tera Privacy Policy.

The Privacy Policy explains how personal and health information is collected, used, and shared.

12. Intellectual Property

All software, content, and technology underlying the Services are owned by Tera or its licensors.

You are granted a limited, non-exclusive, non-transferable license to use the Services.

You may not copy, distribute, or reverse engineer the platform.

13. Limitation of Liability

To the maximum extent permitted by law, Tera shall not be liable for:

  • indirect damages
  • incidental damages
  • consequential damages
  • loss of health outcomes

Tera's total liability shall not exceed:

the greater of $100 or the amount paid by you to Tera in the previous six months.

14. Termination

You may stop using the Services at any time.

Tera may suspend or terminate access if:

  • you violate these Terms
  • your practitioner relationship ends (for Copilot users)
  • the platform is discontinued

15. Dispute Resolution

Any dispute arising under these Terms shall be resolved through binding arbitration administered by the American Arbitration Association.

Arbitration will take place in Delaware, unless otherwise required by law.

You waive the right to participate in class actions.

16. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.

17. Changes to These Terms

We may update these Terms periodically.

Material updates will be communicated through the app or email.

Continued use of the Services constitutes acceptance of the revised Terms.
